Who Can Be a Minnesota Registered Agent?

In simple terms, a Minnesota registered agent is a person or business entity that has a physical address in the state (a post office box is not sufficient).

So that means that you can:

  • Serve as your own registered agent (if you are resident in Minnesota)
  • You can designate a friend or family member – or your lawyer or accountant – as your registered agent

Requirements of a Minnesota Registered Agent

There a number of requirements to be a registered agent in Minnesota, which is why most people choose to go with a registered agent service.

The Minnesota corporate law states the following requirements for registered agents:

  • “The registered agent may be a natural person residing in this state, a domestic corporation, or limited liability company, or a foreign corporation or foreign limited liability company authorized to transact business in this state. 
  • The registered agent must maintain a business office that is identical with the registered office.”

No matter who you choose to be your registered agent, they need to be physically present at the address provided to the state during standard business hours.

What will my Minnesota Registered Agent do For Me?

A registered agent service keeps track of these dates (which are subject to change) and emails your to remind you when filings are due. This ensures your business remains in good standing and doesn’t receive any fines or other actions including dissolution.

In Minnesota, all business entities are required to file an annual report, but the state refers to them as annual renewals. All told, the state is pretty laid back with these reports; you can file anytime during the year (but the report must be filed by December 31st). And as long as your business remains in good standing, you won’t have any filing fees. It’s easiest to file the report online.

As an example, all businesses in Minnesota must file an annual report by December 31. Keep in mind the state refers to annual reports as annual renewals.

Forming a Business (LLC) in Minnesota

Of course choosing a registered agent is just one part of forming a business entity in Minnesota.

We’ve summarised the other main steps for forming an LLC (the appropriate entity for most situations) well as showing you where appointing a registered agent fits in the process.

  1. Choose a business name. Be sure to choose something that’s unique to your business, is easy to pronounce (helps with word of mouth) and fits with your business. It also needs to not be an business name that is already in use in Minnesota. You can check this with the Minnesota State Department via its Business Entity Search.
